These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and YoutubeTS ("Company," "we," "us," "our") governing your access to and use of the YoutubeTS website located at youtubets.com and all associated services, features, content, and applications (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICE. BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
1. ACCEPTANCE OF TERMS

- Submit YouTube video URLs for transcription processing
- Generate text transcripts from YouTube video content
- Download transcripts in multiple formats (TXT, PDF, DOCX, SRT)
- Store and manage transcript history (for registered users)
- Access AI-powered chat features for transcript analysis (for eligible subscribers)
2.2 Service Availability
We strive to provide reliable and uninterrupted access to the Service. However, we do not guarantee that the Service will be available at all times. The Service may be subject to:
- Scheduled maintenance and updates
- Unplanned outages or technical difficulties
- Third-party service disruptions (including YouTube API limitations)
- Force majeure events
2.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. This includes:
- Adding or removing features
- Changing user interface and experience
- Modifying transcript limits and quotas

3. USER ACCOUNTS

- Access or transcribe content that is illegal in your jurisdiction
Harmful or Abusive Conduct:
- Harass, abuse, threaten, or intimidate others
- Post or transmit hateful, discriminatory, or violent content
- Impersonate any person or entity
- Stalk or harm another person
Technical Violations:
- Attempt to gain unauthorized access to our systems
- Use automated scripts, bots, or scrapers without authorization
- Interfere with or disrupt the Service or its infrastructure
- Circumvent rate limits, quotas, or access controls
- Reverse engineer, decompile, or disassemble any part of the Service
- Introduce malware, viruses, or other harmful code
Commercial Misuse:
- Resell, redistribute, or sublicense the Service without authorization
- Use the Service to create a competing product
- Systematically download or store transcripts for commercial redistribution
- Remove or alter any proprietary notices or labels
Content Violations:
- Transcribe content you do not have the right to access
- Use transcripts in ways that violate YouTube"s Terms of Service
- Create or distribute transcripts of private or restricted videos
- Submit URLs to videos containing illegal content
4.3 Rate Limits and Fair Use
To ensure fair access for all users, we implement rate limits:
- Anonymous users: 15 transcripts per day
- Free registered users: 29 transcripts per day
- Starter plan: 129 transcripts per day
- Pro plan: 399 transcripts per day
- Business plan: 1,499 transcripts per day
Attempts to circumvent these limits may result in account suspension.
5. SUBSCRIPTION AND PAYMENT TERMS
5.1 Subscription Plans
We offer various subscription plans with different features and limits:
- Free Plan: Basic access with daily transcript limits
- Starter Plan: Enhanced limits and features
- Pro Plan: Professional features with higher limits
- Business Plan: High-volume access for teams
- Enterprise Plan: Custom solutions for large organizations
5.2 Billing and Payment
For paid subscriptions:
- Payment is processed securely through Stripe
- Subscriptions are billed in advance on a monthly or annual basis
- All prices are in US Dollars unless otherwise specified
- Prices are subject to change with 30 days notice
- You authorize us to charge your payment method for all fees
5.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless:
- You cancel before the renewal date
- Your payment method fails and cannot be resolved
- We terminate your subscription
5.4 Cancellation
You may cancel your subscription at any time through:
- Your account settings/billing portal
- Contacting our support team
Upon cancellation:
- You retain access until the end of your current billing period
- No refunds are provided for partial months
- Your transcript history remains accessible until account deletion
5.5 Refund Policy
We offer refunds under the following circumstances:
- Technical issues preventing service use that we cannot resolve
- Duplicate charges or billing errors
- Requests made within 7 days of initial purchase (for new subscribers only)
Refunds are issued at our sole discretion. To request a refund, contact our support team with your order details.
5.6 Taxes
Prices do not include taxes. You are responsible for all applicable taxes, and we will charge taxes where required by law.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Our Intellectual Property
The Service and its entire contents, features, and functionality are owned by YoutubeTS and are protected by copyright, trademark, and other intellectual property laws. This includes:
- The YoutubeTS name, logo, and branding
- Website design and user interface
- Software, algorithms, and code
- Documentation and written content
- Graphics, images, and visual elements
6.2 License to Use Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service for personal or authorized business purposes
- Download and use transcripts generated through the Service
- Store transcripts for your own use
6.3 Restrictions
You may not:
- Copy, modify, or create derivative works of the Service
- Sublicense, sell, or transfer your rights to use the Service
- Use our trademarks without prior written permission
- Remove any copyright or proprietary notices
6.4 Third-Party Content
The Service processes content from YouTube, which is owned by YouTube/Google and respective content creators. We do not claim ownership of:
- YouTube videos submitted for transcription
- Content within those videos
- Existing captions or subtitles
6.5 User-Generated Transcripts
You retain ownership of the transcripts generated from videos you submit, subject to:
- The original video creator"s intellectual property rights
- YouTube"s Terms of Service
- Our license to store and process transcripts for service operation
7. DISCLAIMER OF WARRANTIES
7.1 "As Is" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE SERVICE
7.2 Transcript Accuracy
While we strive for high accuracy (approximately 98%), we do not guarantee that transcripts will be:
- 100% accurate or error-free
- Complete in all cases
- Suitable for legal, medical, or other critical purposes
- Available for all YouTube videos
7.3 Third-Party Dependencies
Our Service depends on third-party services, including YouTube and AI providers. We are not responsible for:
- Changes to YouTube"s API or Terms of Service
- YouTube video availability or accessibility
- Third-party service outages or limitations
- Content accuracy of source videos
8. LIMITATION OF LIABILITY
8.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YOUTUBETS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- BUSINESS INTERRUPTION OR LOSS OF GOODWILL
- COST OF SUBSTITUTE SERVICES
- ANY OTHER INTANGIBLE LOSSES
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Liability Cap
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
- ONE HUNDRED US DOLLARS (00)
8.3 Essential Purpose
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
8.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless YoutubeTS and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys" fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service
- Your violation of any third-party rights, including intellectual property rights
- Your violation of any applicable laws or regulations
- Content you submit, post, or transmit through the Service
- Any misrepresentation made by you
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
10. DISPUTE RESOLUTION

Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally. Most disputes can be resolved through good-faith communication.

- Technical or security issues
- Extended periods of inactivity
- Engagement in fraudulent or illegal activities
11.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your account and all associated data
- Any amounts owed to us become immediately due
- Provisions that by their nature should survive termination shall survive (including intellectual property, warranties, indemnification, and limitations of liability)

12.7 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and YoutubeTS.
13. SPECIFIC TERMS FOR AI FEATURES
13.1 AI Chat Functionality
For users with access to AI-powered chat features:
- AI responses are generated automatically and may contain errors
- AI output should not be relied upon for legal, medical, or financial advice
- We do not guarantee the accuracy or completeness of AI responses
- AI usage is subject to word/token limits based on your subscription
13.2 AI Content Generation
You acknowledge that:
- AI-generated content is based on the transcript and may not reflect original video intent
- You are responsible for reviewing and verifying AI-generated content
- AI features may be modified or discontinued at our discretion
14. SPECIAL PROVISIONS
14.1 YouTube Compliance
Our Service interacts with YouTube"s platform. You agree to:
- Comply with YouTube"s Terms of Service
- Only transcribe videos you have the right to access
- Not use our Service to circumvent YouTube"s access controls
- Respect video creators" intellectual property rights
14.2 Export Compliance
You agree to comply with all applicable export control laws and regulations. You may not use the Service if you are located in, or a resident of, a country subject to comprehensive sanctions.
14.3 Government Users
